The full financial statements are available on the Form 6-K filed with the U.S. Securities and Exchange Commission on the same date. <\/p>\n<p><b>First Half 2021 Financial Highlights:<\/b><\/p>\n<ul type=\"disc\">\n<li>Revenues of <span class=\"xn-money\">$37.8 million<\/span>, compared to <span class=\"xn-money\">$7.3 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2020<\/span><\/li>\n<li>Net loss of <span class=\"xn-money\">$26.7 million<\/span>, compared to net loss of <span class=\"xn-money\">$18.9 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2020<\/span><\/li>\n<li>Basic and diluted loss per share of <span class=\"xn-money\">$0.09<\/span>, which is unchanged from the six months ended <span class=\"xn-chron\">June 30, 2020<\/span><\/li>\n<\/ul>\n<p><b>Management Commentary<\/b><\/p>\n<p>Mr. <span class=\"xn-person\">Xuesong Song<\/span>, Chairman and CEO, stated, &#8220;In the first half of 2021, we were pleased to complete the transformative acquisition of the control over eMapgo Technology (<span class=\"xn-location\">Beijing<\/span>) Co., Ltd. (&#8216;EMG&#8217;), a leading provider of navigation and electronic map services in <span class=\"xn-location\">China<\/span>, which we anticipate will be an increasingly important growth driver for Luokung in the long term. EMG provides Luokung with a strong foothold in the areas of smart transportation (autonomous driving, smart highway and vehicle-road collaboration), natural resource asset management (carbon neutrality and environmental protection remote sensing data service) and LBS smart industry application spatial-temporal data commercialization. We achieved record revenue of <span class=\"xn-money\">$37.8 million<\/span> for the First Half 2021, primarily as a result of solid growth in our LBS business. During the period, Luokung expanded its partnership base and began providing our premier portfolio of products and services for leading businesses across various industries, and worked to successfully overcome the challenges of being designated a Chinese Communist Military Company by the U.S. Department of Defense (&#8216;DoD Designation Matter&#8217;). With these concerns behind us, we placed our focus over the past few months entirely on improving and growing our business. This includes continued investment in R&amp;D, which we believe is critical to building a series of products backed by cutting-edge technologies and establishing competitive advantages in our areas of core competency.&#8221;<\/p>\n<p><b>Recent Operational Developments<\/b><\/p>\n<ul type=\"disc\">\n<li>In <span class=\"xn-chron\">June 2021<\/span>, Luokung announced that its operating affiliate, EMG, signed an agreement with Geely Automobile Research Institute (<span class=\"xn-location\">Ningbo<\/span>) Co., Ltd. (&#8220;Geely&#8221;) whereby EMG provided autonomous driving simulation testing services for Geely. EMG provided the services under this agreement for approximately <span class=\"xn-money\">$2.5 million<\/span> during the third quarter of 2021.<\/li>\n<li>In <span class=\"xn-chron\">September 2021<\/span>, Luokung announced that its operating affiliate, EMG, signed a cooperation agreement with Microsoft to launch autonomous driving services for automakers. Under the terms of the agreement, EMG will work with Microsoft to provide auto manufacturers with services including the collection, storage, analysis, management and simulation testing of autonomous driving data. EMG has already signed service contracts with a European car manufacturer and a U.S. car manufacturer. Implementation of these contracts has begun and is expected to continue over the next several months. <\/li>\n<li>In <span class=\"xn-chron\">September 2021<\/span>, Luokung announced that its operating affiliate, EMG, signed an agreement to be the technical service provider for the management of market and service information for China Mobile Group Heilongjiang Co., Ltd. (&#8220;Heilongjiang Mobile&#8221;), the <span class=\"xn-location\">Heilongjiang<\/span> division for China Mobile, the leading telecommunications provider in mainland <span class=\"xn-location\">China<\/span>. Heilongjiang Mobile is Luokung&#8217;s first new client win in the telecommunication industry since it launched its Internet LBS B2B business.<\/li>\n<li>In <span class=\"xn-chron\">September 2021<\/span>, Luokung announced that its operating affiliate EMG signed an agreement to provide autonomous driving data services for Zenseact, a wholly owned subsidiary of Volvo Cars, the automotive division of the Swedish multinational manufacturing company, focusing on the development of autonomous driving and active safety software together with its lead customer Volvo Cars.<\/li>\n<\/ul>\n<p><b>First Half 2021 Financial Review \u2013 GAAP Results<\/b><\/p>\n<p><b><i>Revenue<\/i><\/b>&nbsp;<\/p>\n<p>For the First Half 2021, revenues increased to <span class=\"xn-money\">$37.8 million<\/span>, compared to <span class=\"xn-money\">$7.3 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2020<\/span>. The increase was primarily a result of <span class=\"xn-money\">$24.5 million<\/span> in increased revenue contributions from the LBS business, as well as growth in the software and services business and EMG business. <\/p>\n<p><b><i>Operating costs and expenses<\/i><\/b><\/p>\n<p>Total operating costs and expenses increased to <span class=\"xn-money\">$62.9 million<\/span>, compared to <span class=\"xn-money\">$24.2 million<\/span> for the six months ended <span class=\"xn-chron\">June 30, 2020<\/span>. The increase was primarily driven by:<\/p>\n<ul type=\"disc\">\n<li>a <span class=\"xn-money\">$27.6 million<\/span> increase in cost of revenues, which primarily consists of mobile traffic acquisition costs and salary and benefit expenses for employees directly involved in data collection and processing, direct production costs and depreciation of facilities and equipment used in data collection and processing; <\/li>\n<li>a <span class=\"xn-money\">$1.7 million<\/span> increase in selling and marketing expenses; <\/li>\n<li>a <span class=\"xn-money\">$2.3 million<\/span> increase in general and administrative expense; and <\/li>\n<li>a <span class=\"xn-money\">$7.0 million<\/span> increase in research and development. <\/li>\n<\/ul>\n<p>Approximately <span class=\"xn-money\">$1.3 million<\/span> in legal and consulting fees were directly related to services rendered to defend the Company against the DoD Designation Matter during the six months ended <span class=\"xn-chron\">June 30, 2021<\/span>.<\/p>\n<p><b><i>Loss from operations <\/i><\/b><\/p>\n<p>For the First Half 2021, loss from operations was <span class=\"xn-money\">$25.1 million<\/span>, compared to loss from operations of <span class=\"xn-money\">$16.9 million<\/span> in the prior-year period, as a result of the increased operating expenses described above.<\/p>\n<p><b><i>Net loss <\/i><\/b><\/p>\n<p>Net loss was <span class=\"xn-money\">$26.7 million<\/span>, or <span class=\"xn-money\">$0.09<\/span> per share, for the First Half 2021, compared to net loss of <span class=\"xn-money\">$18.9 million<\/span>, or <span class=\"xn-money\">$0.09<\/span> per share, for the six months ended <span class=\"xn-chron\">June 30, 2020<\/span>. Weighted average shares outstanding for the six months ended <span class=\"xn-chron\">June 30, 2021<\/span> and 2020 were 307,146,263 and 211,365,515, respectively.<\/p>\n<p><b>Balance Sheet Highlights<\/b><\/p>\n<p>As of <span class=\"xn-chron\">June 30, 2021<\/span>, Luokung&#8217;s cash balance was <span class=\"xn-money\">$14.5 million<\/span>, working capital deficit was <span class=\"xn-money\">$51.2 million<\/span> and total shareholders&#8217; equity was <span class=\"xn-money\">$136.7 million<\/span>, compared to cash balance of <span class=\"xn-money\">$0.07 million<\/span>, working capital deficit of <span class=\"xn-money\">$61.6 million<\/span> and total shareholders&#8217; equity of <span class=\"xn-money\">$52.7 million<\/span>, respectively, as of <span class=\"xn-chron\">December 31, 2020<\/span>.<\/p>\n<p>Subsequent to the end of First Half 2021, on <span class=\"xn-chron\">September 22, 2021<\/span>, Luokung closed a registered direct offering of an aggregate of 27,333,300 ordinary shares and warrants to purchase 13,666,650 ordinary shares to certain institutional investors at a purchase price of <span class=\"xn-money\">$1.20<\/span> per share for aggregate gross proceeds of approximately <span class=\"xn-money\">$32.8 million<\/span> before deducting placement agent fees and other estimated offering expenses.
