BEIJING<\/span><\/span>, March 13, 2024<\/span><\/span> \/PRNewswire\/ — NaaS Technology Inc. (Nasdaq: NAAS) ("NaaS" or the "Company"), the first U.S. listed EV charging service company in China<\/span>, today announced that it has entered into a definitive agreement with a single, U.S. institutional investor for the purchase and sale of 4,761,905 American Depositary Shares ("ADS") together with warrants to purchase up to 4,761,905 ADSs at a combined purchase price of US$1.26<\/span> per ADS<\/span> and accompanying warrant (together the "Securities"), pursuant to a registered direct offering for total gross proceeds of approximately US$6 million<\/span><\/span>, before deducting commissions and other estimated offering expenses. The warrants will have an exercise price of US$1.49<\/span><\/span>, will be exercisable beginning six months following the date of issuance and will expire five years from the initial exercise date. The closing of the offering and sale of the Securities is expected to occur on or about March 15, 2024<\/span>, subject to the satisfaction of customary closing conditions. <\/p>\n

This offering is being made pursuant to an effective shelf registration statement on Form F-3 (File No 333-273515) previously filed with the U.S. Securities and Exchange Commission (the "SEC").
