The record date for determination of shareholders entitled to vote at the meeting is September 17, 2024<\/span>.<\/span><\/p>\n

AGM Resolutions<\/b><\/p>\n

The following resolutions to be proposed at the AGM will require a simple majority of the votes cast by the shareholders present in person or by proxy:<\/p>\n

  1. To appoint Dr. Ramakrishnan Srinivasan as a director of the Company following his appointment as a director by the Board of Directors in accordance with the Company’s articles of association.<\/li>\n
  2. To re-elect Martin Bloom<\/span> and Yumin Liu, who are each offering himself for re-election, in accordance with the Company’s articles of association to hold office until a successor is duly elected and qualified.<\/li>\n
  3. To vote on an advisory basis to approve the compensation of our named executive officers as disclosed in the accompanying proxy statement.<\/li>\n
  4. To vote on an advisory basis on the frequency of future advisory shareholder votes on the compensation of our named executive officers.<\/li>\n
  5. To ratify the appointment of UHY LLP as our independent registered public accounting firm and auditors for 2024.<\/li>\n
  6. To consider and act upon such other business as may properly come before the meeting or any adjournment or postponement thereof.<\/li>\n<\/ol>\n
